Terms of Service

THESE TERMS OF SERVICE (the "Agreement") GOVERN CUSTOMER’S ACCESS TO AND USE OF THE SUPERNOMIAL “t0” SERVICE (AS DEFINED BELOW). BY (A) PURCHASING ACCESS TO THE SERVICE THROUGH AN ONLINE ORDERING PROCESS THAT REFERENCES THIS AGREEMENT, (B) SIGNING UP FOR A FREE OR PILOT PLAN THAT REFERENCES THIS AGREEMENT, OR (C) CLICKING A CHECKBOX INDICATING ACCEPTANCE, CUSTOMER (“You”) AGREES TO BE BOUND BY THESE TERMS. THE INDIVIDUAL ACCEPTING THIS AGREEMENT REPRESENTS AND WARRANTS THAT THEY HAVE THE AUTHORITY TO BIND THE ENTITY ON WHOSE BEHALF THEY ARE ACTING. IF YOU DO NOT HAVE SUCH AUTHORITY, DO NOT ACCEPT AND DO NOT USE THE SERVICE.
Capitalized terms used but not defined herein have the meanings set forth in Section 1.
1. Definitions
- “Agreement” means these Terms of Service, including all schedules and exhibits.
- “Common Paper Standard Terms” means the Common Paper Cloud Service Standard Terms v2.1, hosted at https://commonpaper.com/standards/cloud-service-agreement/2.1, incorporated herein by reference.
- “Customer” (also “You” or “Your”) means the legal entity on whose behalf You accept this Agreement.
- “DPA” means Supernomial’s Data Processing Agreement, available at https://resources.supernomial.co/trustcenter/data-processing-agreement, incorporated by reference.
- “Privacy Policy” means the Supernomial Privacy Policy, available at https://resources.supernomial.co/trustcenter/trustcenter, incorporated herein by reference.
- “Order” means the ordering screen, cover page, or checkout flow describing Your selected Free Tier, Pilot, or Paid Plan, and referencing this Agreement.
- “Plan” means one of Free Tier, Pilot Period or Paid Plans as further described in Section 3.
- “Service” or “t0” means Supernomial’s cloud-based software and related documentation, content and APIs made available under this Agreement.
- “Combined Terms” means collectively this Agreement (including the Key Terms Summary), the Common Paper Cloud Service Standard Terms v2.1, the Privacy Policy, and the DPA.
- “User” means an individual authorized by Customer to use the Service under a Plan.
- “User Information” means any information relating to a User’s interaction with the Service, including but not limited to name, email address, username, IP address, browser and device information, and usage metadata.
- “User Submission” means any content, data or material uploaded or entered into the Service by or on behalf of Customer or its Users.
- “SLA” means any service‐level commitments (e.g. uptime, availability, support response times) set forth in an Order or Service Level Addendum.
2. Scope & Incorporation
2.1 Scope. These Terms, together with Supernomial’s Privacy Policy and the DPA, govern Your access to and use of the Service.
2.2 Incorporation by Reference.
- The Common Paper Standard Terms are incorporated by reference and form part of this Agreement.
- The DPA is incorporated by reference for any processing of personal data of EU residents.
In case of conflict, the order of precedence is: (i) This Agreement (including the Key Terms Summary in Section 3), (ii) Common Paper Standard Terms, (iii) DPA, (iv) Privacy Policy.
3. Key Terms
3.1 Free Tier
- Features: Up to 1 User; Community support only
- Term: Begins on activation and continues until terminated by either party without notice
- Limitations: See Combined Terms for full warranty disclaimer.
3.2 Pilot Period
- Duration: 30-day free trial
- Fees: As set forth in the applicable Order
- Modifications: During the Pilot, the warranty, indemnification and liability-cap provisions in the Combined Terms are replaced by the following: (i) no implied warranties of any kind; (ii) no indemnification obligations; and (iii) a maximum aggregate liability of $1,000 for any claims arising during the Pilot.
3.3 Paid Plans
- Billing: Monthly subscription in EUR or USD
- Cancellation: Cancel any time via Stripe to avoid next period billing
- SLA (if any): As set forth in the applicable Order
- Annual Plans (future): 30-day non-renewal notice required
4. Fees, Billing & Taxes
4.1 Fees. You will pay the fees set forth in Your Order. All Fees are non-cancelable and non-refundable except as expressly stated.
4.2 Billing. Supernomial (or its payment processor) will charge Your provided payment method. You authorize recurring charges until You cancel.
4.3 Taxes. You are responsible for all sales, use or other taxes, excluding taxes on Supernomial’s income.
4.4 Late or Failed Payments. Supernomial may retry failed charges and suspend Service for overdue amounts. Disputes must be raised within 60 days of invoice.
5. Permitted Use & Restrictions
5.1 Permitted Use. You may use the Service solely for Your internal business purposes and in accordance with this Agreement.
5.2 Restrictions. You will not:
- Reverse engineer, decompile, or otherwise attempt to access non-public source code
- Remove or obscure Supernomial branding
- Use the Service to build a competing product
- Violate any law, hack or disrupt the Service
- Resell, sublicense, or time-share the Service, except as set forth below.
- Consultancy Exception: Customer may build, market, and license its own applications built with t0 and invite its clients to access those applications on t0; provided all end users join via Customer-managed invitations and agree to these Terms.
6. Intellectual Property
6.1 Supernomial Materials. All rights in the Service, software, documentation and any enhancements are reserved by Supernomial.
6.2 Customer Data & Submissions. Customer retains ownership of all User Submissions. Supernomial is granted a royalty-free license to use Customer Data solely to provide the Service.
7. Data Processing & Security
7.1 DPA. To the extent Supernomial processes EU personal data on Your behalf, the DPA governs that processing.
7.2 Security. Supernomial maintains administrative, technical and physical safeguards in accordance with industry standards and as detailed in the DPA.
7.3 Data Protection. Supernomial has established and implemented reasonable administrative, technical, and physical security measures to protect Customer Data (including User Submissions and User Information). Notwithstanding the foregoing, Customer remains responsible for maintaining appropriate security, protection, and backup of its own hardware, software, systems, information, and Customer Data. Supernomial will, during the Term, process all Customer Data in accordance with the DPA.
8. Disclaimers & SLAs
The Service is provided “AS IS” and “AS AVAILABLE.” Except as set forth in Section 7 of the Common Paper Standard Terms (“Disclaimer of Warranties”), Supernomial disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose. No uptime SLA is provided on Free or Pilot Plans.
8.1 Client Responsibility for Outputs. t0 is a tool to assist tax professionals in generating transfer pricing reports, dashboards, and other outputs (“Deliverables”). All Deliverables are based on data and prompts provided by the Customer or its Users, and are for informational purposes only. Clients, defined as the end users of such Deliverables—whether directly engaging the Service or via a Customer—bear sole responsibility and risk for the accuracy, completeness, and legal compliance of any Deliverable. Supernomial shall have no liability for any tax, regulatory, or financial consequences (including audits, adjustments, penalties, or loss) that may arise from a Client’s or Customer’s use of any Deliverable.
8.2 Data Retention & Local Storage. Customers and Clients are solely responsible for regularly downloading, exporting, and securely storing all Deliverables and any underlying data in accordance with applicable local tax record-keeping, privacy, and security laws. Supernomial makes no representation that data stored in our systems will satisfy these local requirements, and disclaims any liability for failure to retain or protect such records.
9. Limitation of Liability
Supernomial’s total liability shall not exceed the fees paid by You under the Order in the 12 months preceding the claim. Indirect or consequential damages are disclaimed to the fullest extent permitted by law, as detailed in Section 8 of the Common Paper Standard Terms (“Limitation of Liability”).
10. Confidentiality
Each party will treat the other’s Confidential Information in accordance with Section 10 of the Common Paper Standard Terms. Feedback provided by You may be used by Supernomial without restriction.
11. Term, Termination & Effects
11.1 Term. The Agreement begins on Your first Order activation and continues until all Plans are terminated.
11.2 Termination for Cause. Either party may terminate for uncured material breach after 30 days’ notice.
11.3 Effect of Termination. On termination, Your access ends. For Paid Plans, You may be downgraded to the Free Tier; Supernomial will delete your data in accordance with the Combined Terms’ data deletion and retention provisions.
12. General Provisions
12.1 Governing Law & Venue: Finland; courts of Helsinki.
12.2 Amendments: Supernomial may amend these Terms at any time by updating them on our website; amended Terms will be effective immediately upon posting. Your continued use of the Service after any such posting constitutes your acceptance of those changes. Notwithstanding the foregoing, any changes to pricing or billing practices will be communicated to you at least seven (7) days in advance via email or in-app notification.
12.3 Force Majeure: Neither party liable for events beyond its control.
12.4 Assignment: You may not assign; Supernomial may assign in connection with a sale or merger.
12.5 Notices: All notices under this Agreement will be sent by email or posted in the Service. Notices are deemed given in accordance with the notice provisions of the Common Paper Standard Terms.
12.6 Entire Agreement: This Agreement, together with the Common Paper Cloud Service Standard Terms v2.1, the Privacy Policy, the DPA, and all Orders, constitutes the entire agreement between the parties.
